About this calculator

Restricted stock units (RSUs) are a form of employee compensation that convert into actual shares on a vesting schedule; on the date each batch vests, the market value of those shares counts as ordinary taxable income to the employee, regardless of whether the shares are sold. Employers commonly withhold taxes on vesting by having the brokerage automatically sell a portion of the shares — a "sell-to-cover" — before delivering the remainder.

Because the value at vesting depends on the stock price at that moment, the same RSU grant can be worth very different amounts depending on when it vests. This calculator takes the number of vesting shares, the current share price, and your tax rate to estimate both the gross value of the vesting shares and what you actually keep after withholding — useful for planning around a vesting date or estimating take-home value from an equity offer.
